GHOST MEDIA TERMS OF SERVICE Last Updated: [January 4, 2025]
Welcome to Ghost Media. By engaging our services and making a payment, you (“Client”) agree to be bound by the following Marketing Services Agreement (the “Agreement”). If you do not agree to these terms, please do not proceed with payment or use our services.
1. Scope of Services Ghost Media (“Consultant”) provides digital marketing, social media management, advertising, and promotional services as outlined in the specific service package selected by the Client. The Consultant shall make commercially reasonable efforts to provide these services in alignment with industry best practices. The Client acknowledges that results may vary based on platform changes, audience engagement, and other external factors beyond the Consultant’s control. The Client grants Consultant access to relevant social media, advertising, and analytics platforms necessary to perform the agreed services. Consultant is not responsible for account suspensions, platform policy changes, or negative engagement resulting from marketing campaigns.
2. Fees & Payment Terms Fees are specified at the time of service selection and must be paid in full before work commences. Payments are non-refundable, except as explicitly stated in this Agreement. If additional services beyond the agreed scope are requested, Client will be billed at the rate of $200 per hour, billed in 15-minute increments. Any late payments beyond 30 days will incur a 1.5% late fee per month, and services may be suspended after 45 days of non-payment.
3. Ownership of Materials Client-Owned Work: All marketing materials, images, and content created by Ghost Media as part of its services will be deemed “work made for hire” and owned by the Client. Third-Party Content Creators: If Consultant hires photographers, influencers, or external creators, the Consultant retains a perpetual, sublicensable license to use such content across multiple clients. Client receives a non-exclusive license to use such content unless an exclusive buyout is negotiated. Consultant’s Use: Consultant may use completed work in its portfolio, case studies, and marketing materials unless otherwise agreed upon in writing.
4. Confidentiality & Data Protection Consultant agrees to keep all Client information confidential and not disclose proprietary business information. Client is responsible for ensuring any provided content (logos, text, images) does not infringe on third-party intellectual property rights. Consultant is not liable for any legal claims related to Client-provided materials.
5. Platform & Compliance Limitations Consultant is not responsible for any social media platform bans, suspensions, or content removals. Client understands that marketing results depend on algorithm changes, audience behavior, and ad platform policies, which are outside Consultant’s control. Consultant cannot guarantee follower authenticity or prevent user-generated negative comments.
6. Termination & Cancellation This Agreement remains in effect until services are completed. Either party may terminate services with 60 days written notice. If Client terminates early, fees already paid are non-refundable. Consultant reserves the right to cancel services for non-payment or breach of terms.
7. Limitation of Liability To the fullest extent permitted by law: Consultant is not liable for lost revenue, indirect damages, or third-party claims resulting from marketing services. Consultant is not responsible for any legal disputes related to content provided by the Client. Consultant’s total liability shall not exceed the amount paid by Client for services under this Agreement.
8. Indemnification Client agrees to indemnify and hold harmless Ghost Media from any claims, liabilities, or legal actions arising from: The use of Client-provided content. Any violations of third-party intellectual property rights. Any advertising claims or consumer complaints related to marketing campaigns.
9. Governing Law This Agreement is governed by the laws of the State of California. Any disputes shall be resolved in Los Angeles County, California.
10. Acceptance of Terms By making a payment and engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, please do not proceed with payment. For any questions, please contact us at [support@ghostmediainc.com].
